These Terms & Conditions are a contract between you and Global Resources Management Sdn. Bhd. (referred to in these Terms & Conditions as “GRM”, “us”, “we” or “our”), the provider of the GRM website and the services accessible from the GRM website.

1. Definitions & Interpretations

“Content” means the text, information, images, photographs, software, products, graphics, logos, illustrations, descriptions, data, services, and all other material provided on this Website.

“Law” means and includes the Communications and Multimedia Act, 1998, its regulations, and any other laws, Regulations, Statutes, Acts, or By-laws currently in force in Malaysia from time to time.

“Customer” means the party who has agreed to subscribe to or utilize the Services stated herein.

“Services” means any functions, features, communication facilities, or facilities made available by GRM from time to time subscribed or to be subscribed by the you in connection with the Services.

“GRM” means Global Resources Management Sdn. Bhd., a company incorporated in Malaysia under the Companies Act.

Unless the context otherwise requires, words denoting the singular number shall include the plural and vice versa and words denoting natural person shall include corporations and partnerships.

Words denoting the masculine gender shall include the feminine and neuter genders and vice versa.

2. Use of the Site
You agree to use the GRM site only for lawful purposes and in accordance with this T&C. You agree to abide by all applicable local, state, and national laws and regulations and are solely responsible for all acts or omissions that occur under your usage, including the content of your communication through GRM Site. By using the Site or the services, you represent and warrant that: (1) all registration information you submit are true, accurate, current, and complete; (2) you shall maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these T&C; (4) you will not access the Site through automated or non-human means, whether through a bot, script, or otherwise; (5) you will not use the Site for any illegal or unauthorized purposes; (6) not to infringe any intellectual property right of any other sites; (7) you shall not use the Site in a manner which could damage, disable, overburden or impair this Site or interfere with the enjoyment or use by any other party of this Site; (8) you shall not modify, make derivative words of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Site; (9) your use of the Site will not violate any applicable law or regulation; (10) You are fully responsible for your actions and the actions of your employees, agents, your customers or anyone who use the Site; If any information provided is found to be untrue, inaccurate, not current, or is incomplete, we have the absolute right to suspend or terminate your account and refuse any and all current or future use or access of the Site.

Any links to third party sites from this Site shall not be construed as a form of authorization, endorsement, sponsorship, or any partnership whether expressly or implied. GRM is not in control of the third-party sites and shall not be responsible for the contents of the third-party sites. You shall bear all risks in accessing the third-party sites and in the using of the products and services contained therein. This Site may leverage or include access to third-party services. GRM is not responsible for the usability or accessibility of third-party services. GRM disclaims all liability related to outages or downtime of third-party services.

GRM takes no responsibility for the accuracy, validity, reliability, suitability, or effect (whether harmful or otherwise) of the Content. Further, GRM does not make any form of representations in any manner whatsoever (whether with regard to the accuracy, validity, reliability, suitability, effect, or any other matter) in relation to the Content for any purpose. The Content is provided without warranty of any kind either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose, title, non-infringement, security, or accuracy. GRM shall not be liable for any loss or any damages sustained by reason of any disclosure, inadvertent, or otherwise in any information concerning your information/data. Neither shall GRM be liable for any error, omission, or inaccuracy with respect of any information disclosed. GRM shall not be liable to you for any cost, claim, expense, liability, demand, or damages whatsoever (including but not limited to any loss of profits, loss of savings, or incidental, special, indirect, or consequential damages), arising out of or in connection with the Content or the use or inability to use or performance available from the services or the Site even if such loss was reasonably foreseeable by GRM or GRM had been advised by you of the possibility of such. GRM shall not be liable for any loss of information howsoever caused whether as a result of any interruption, suspension, or termination of the services or otherwise or for the accuracy of the Content or quality of information available, received, or transmitted through the services. GRM does not warrant, represent, or covenant that the functions and/or materials contained in this Site will be uninterrupted or error-free, or that the defects will be corrected, or that this Site are free of viruses or represents the full functionality herewith. You shall be solely responsible for ensuring that in using the services, all applicable laws, rules, and regulations for the use of any telecommunications systems, service, or equipment shall be at all times be complied with.

10. Indemnity
You undertake and agree to indemnify, save, and hold harmless GRM at all times against all actions, claims, proceedings, costs, losses, and damages whatsoever including but not limited to libel, slander or infringement of copyright or other intellectual property rights or property damage and howsoever arising which GRM may sustain, incur, or pay or as the case may be, which may be brought or established against GRM by any person whomsoever arising out of or in connection with or by reason of the operation, provision, or use of the services, by reason of or pursuant to these terms and conditions and which attributable to the act, omission or neglect of you, your servants or agents.

11. Termination / Restriction
These terms and conditions shall remain in full force and effect while you use the site or services. without limiting any other provision of these terms and conditions, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the services (including blocking certain IP addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these terms and conditions or of any applicable law or regulation. we may terminate your use or participation in the services or delete your account (if applicable) without warning, in our sole discretion.

12. Severability
If any provision of these terms and conditions is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Any failure, delay, or neglect by GRM in enforcing any terms or conditions of this Site shall not be deemed a waiver of any of GRM’s rights or as affecting the validity of the whole or any part of this terms and conditions.

14. Governing Law
The terms and conditions is government by the laws of Malaysia.

15. Force Majeure
GRM shall not be liable for any breach of these terms and conditions arising from causes beyond its control including but not limited to Acts of God, insurrection of civil disorder, war, or military operations, national or local emergency, acts or omissions of government or other competent authority or of any third party, industrial disputes of any kind (whether or not involving GRM’s employees), fire, lightning, explosion, flood, subsidence, inclement weather, acts or omissions of persons or bodies for whom GRM are not responsible or any other cause whether similar or dissimilar outside GRM’s control.

16. Electronic Communications, Transactions, and Signatures
Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the services, satisfy any legal requirement that such communication be in writing. If required so by us, you hereby agree to the use of electronic signatures, contracts, orders, and other records, and to the electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the services.
